MTC Skopos – Trial End User Licence Agreement

1. Parties and acceptance

1.1 This End User Licence Agreement ("Agreement") is concluded between Meylan Technologies & Consulting Sàrl, 99 ch. de la Mousse, 1226 Thônex, Switzerland (IDE CHE-249.490.178) ("MTC") and the organisation on whose behalf the trial is requested ("Licensee" or "you").

1.2 The person accepting this Agreement confirms that they act in a professional capacity and are authorised to accept it on behalf of the organisation named in the trial request. If they are not so authorised, they accept this Agreement personally.

1.3 The Trial Software is intended for professional use only and is not offered to consumers.

2. Definitions

  • Trial Software: the trial build of MTC Skopos, including the SAP function module, rulesets, templates and documentation provided with it.
  • Demo Dataset: the sample SAP data provided by MTC with the Trial Software.
  • Trial Licence: the licence file (licence.dat) that MTC issues to you for the Trial Software.
  • Trial Period: three (3) days starting when the Trial Licence is requested, extendable by MTC to up to thirty (30) days in total as set out in section 4. The end date is stated in your Trial Licence.
  • Outputs: analysis results, result files and any other results produced by the Trial Software.

3. Licence grant

3.1 Subject to this Agreement, MTC grants you a free, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the Trial Software during the Trial Period, for the sole purpose of evaluating MTC Skopos.

3.2 The Trial Licence allows use on one machine at a time. Employees of your organisation taking part in the evaluation may use it in turn.

3.3 Your Trial Licence also gives access to your trial account page. Keep it within your organisation: anyone who holds it can open that page.

3.4 One trial is allowed per organisation. Registering again, under the same or a different identity, to obtain a new or longer trial is not permitted.

3.5 All rights not expressly granted in this Agreement are reserved by MTC.

4. Trial Period and extensions

4.1 The Trial Period initially lasts three (3) days starting when the Trial Licence is requested.

4.2 MTC reviews each trial request. At its discretion, MTC may extend the Trial Period to up to thirty (30) days in total, and may grant one further extension on request. MTC may first ask you to confirm your email address.

4.3 MTC may refuse any trial request without giving reasons.

4.4 The Trial Software stops working at the end of the Trial Period.

5. Trial build limitations

5.1 The Trial Software is a restricted build, not the full product. In particular, the number of users or roles per analysis is capped, exports and copying are disabled, some features are unavailable, result files are sealed and can only be opened by the Trial Software, results are not signed and no auditor verification is issued, and the application displays a watermark. The current limits are described on the trial request page.

5.2 The Trial Software may differ from the full product and may change without notice. Nothing in the Trial Software is a commitment regarding the features of a paid licence.

6. Demo Dataset, your own data and Outputs

6.1 The Demo Dataset is fictitious and provided for demonstration purposes. Any resemblance to real persons or organisations is coincidental. It may be used only with the Trial Software during the Trial Period and may not be redistributed.

6.2 Where you analyse your own SAP data, that data is processed only on your own machine. It is never transmitted to MTC, and MTC has no access to it. You remain responsible for being authorised to extract and use that data in line with your internal policies.

6.3 If you install the SAP function module provided with the Trial Software in one of your SAP systems, you do so at your own responsibility and in line with your own change management and security procedures.

6.4 Outputs are for evaluation only. They must not be used as the basis for an audit opinion, a compliance attestation, a deliverable to a third party or a production decision.

7. Restrictions

You must not, and must not allow anyone else to:

a) use the Trial Software after the Trial Period, or for any purpose other than evaluation; b) use it commercially, including to provide services to clients; c) copy, modify, translate, reverse engineer, decompile or disassemble it, except to the extent expressly permitted by mandatory law; d) remove, hide or alter watermarks, licence checks, time limits, usage caps, file sealing, usage reporting or proprietary notices, or attempt to circumvent them; e) sell, rent, lend, sublicense, publish or otherwise make the Trial Software, the Trial Licence, the Demo Dataset or the rulesets available to anyone outside your organisation; f) extract rulesets, risk definitions or other content for use outside the Trial Software; g) use it to build or benchmark a competing product, or publish performance or comparison results without MTC's prior written consent; h) request a trial with false or misleading details; i) use it in breach of applicable law, or request or use it if you or your organisation are subject to Swiss, EU, UN or US sanctions.

8. Data protection

8.1 What stays on your machine. The SAP data you analyse never leaves your machine. The Trial Software does not send authorisation data, datasource names, system IDs, ruleset names, file paths, user or role names, or the size of your landscape.

8.2 Trial request data. MTC collects the details you enter in the trial request form (work email address and company, and optionally your name, telephone number, LinkedIn profile and what you want to evaluate), together with the date, time and version of this Agreement you accepted. MTC, whose contact details are given in section 1.1, is the controller of this data.

8.3 Usage reporting. The Trial Software sends usage information to trial.mtcskopos.com only: your Trial Licence, a machine fingerprint, the application version, and usage counters and yes/no flags (such as the number of launches, analyses and remediations, the number of users or roles in the last analysis capped at 100, whether your own data or the Demo Dataset was used, and whether the cap was reached). 8.4 Purposes. MTC uses this data to issue and manage your Trial Licence and enforce its limits (necessary to perform this Agreement), and to talk to you about your trial, review extension requests, understand how the trial is used and prevent misuse (MTC's legitimate interest). MTC does not use it for any other purpose.

8.5 Security and recipients. Trial request data is encrypted at rest with AES-256-GCM. Usage information and licence records are stored unencrypted, linked to your Trial Licence. MTC does not sell your data or share it with third parties. It is stored on infrastructure operated on MTC's behalf by its hosting provider. Where that provider is located outside Switzerland or the EEA, MTC ensures appropriate safeguards, such as standard contractual clauses.

8.6 Retention. MTC deletes your trial request data, usage information and licence records 30 days after your trial ends. You can ask for deletion sooner.

8.7 Your rights. You may request access to, correction or deletion of your data, restrict or object to its processing, and receive a copy in a portable format, by writing to info@meylan-tc.com or through the contact form on mtcskopos.com. You may also lodge a complaint with the Swiss Federal Data Protection and Information Commissioner (FDPIC) or, if you are in the EU/EEA, with your local data protection authority.

8.8 This section is provided in accordance with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR).

9. Intellectual property

9.1 The Trial Software, the Trial Licence, the Demo Dataset, the rulesets and the documentation, including all source code, algorithms, designs and derivatives, are and remain the exclusive property of MTC. They are protected by the Swiss Federal Act on Copyright and Related Rights (CopA) and international treaties.

9.2 If you give MTC feedback or suggestions, MTC may use them freely and without any obligation to you.

10. No warranty

The Trial Software and the Demo Dataset are provided free of charge, "as is" and "as available". To the extent permitted by law, MTC gives no warranty of any kind, express or implied, including as to fitness for a particular purpose, accuracy or completeness of Outputs, or uninterrupted or error-free operation. You are responsible for backing up your systems and data before installation.

11. Limitation of liability

11.1 As the Trial Software is provided free of charge, MTC's liability is excluded to the fullest extent permitted by Swiss law, in particular for indirect or consequential damage, loss of profit, loss of data, damage arising from reliance on Outputs and damage arising from installing components of the Trial Software in your SAP systems.

11.2 Nothing in this Agreement excludes or limits liability for unlawful intent or gross negligence (art. 100 of the Swiss Code of Obligations), or any other liability that cannot be excluded by law.

12. Term and termination

12.1 This Agreement starts when you accept it and ends automatically at the end of the Trial Period, unless it is replaced by another licence agreement.

12.2 MTC may terminate this Agreement with immediate effect if you breach it or if your trial request contains false details.

12.3 When this Agreement ends, you must stop using the Trial Software, delete it together with the Demo Dataset, and remove the SAP function module from any system where you installed it. Sections 6.4, 7, 8, 9, 10, 11 and 14 survive termination.

13. Full product

For a complete evaluation, MTC can provide an evaluation licence for the full build. To continue using MTC Skopos after the trial, you can purchase a paid licence; pricing is available at https://mtcskopos.com/#pricing. In both cases, contact MTC through the contact form on mtcskopos.com or at info@meylan-tc.com. The full build is governed by a separate agreement.

14. General provisions

14.1 This Agreement is the entire agreement between the parties regarding the Trial Software and replaces any prior communication on this subject.

14.2 MTC may update this Agreement for future trial requests. The version you accepted applies to your trial.

14.3 If any provision is found invalid, the remaining provisions stay in force, and the invalid provision is replaced by a valid one that comes closest to its purpose.

14.4 You may not assign this Agreement without MTC's prior written consent.

14.5 This Agreement is written in English. Any translation is provided for convenience only; the English version prevails.

14.6 This Agreement is governed by Swiss law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Geneva, Switzerland, subject to mandatory law.
